About these draft Terms
These Terms describe the intended launch agreement for Tardy accounts and connected planning, AI, and messaging services. Tardy is operated by Michael Minh Nguyen and Aaron Nguyen, referred to here as "Tardy," "we," or "us." Tardy is the product name. No LLC or corporation is identified by these Terms.
This is a review draft, not an effective agreement. The intended launch is limited to United States residents age 18 or older. Terms acceptance and age controls still require implementation and verification. No effective date has been assigned, and reading this page does not accept these Terms or enable any optional feature.
1. Eligibility and agreement
The launch service is offered only to United States residents age 18 or older who can enter a binding agreement. Under the intended launch flow, selecting the clearly labeled agreement control accepts these Terms. If you do not agree or are ineligible, do not create an account or use the service. Keep account information accurate, protect your sign-in credentials, and report suspected unauthorized use.
2. What Tardy does and what it does not do
Tardy helps organize coursework, calendars, plans, and reminders. It is not your institution, Canvas, an instructor, or an official academic record. Tardy is not endorsed by Apple, Google, OpenAI, Linq, or an institution merely because it connects with their services. Always verify deadlines, requirements, grades, and submission status in the authoritative institutional system.
Imported information can be incomplete, outdated, or unavailable. AI can misunderstand information or produce incorrect answers. Review suggested schedules and proposed changes before relying on them. Tardy does not guarantee academic outcomes, successful submissions, continuous synchronization, or timely reminder delivery. Do not use it for emergencies or safety-critical decisions.
3. App license and Apple
Apple's Standard EULA applies to the App Store app when no custom EULA applies. These Terms additionally govern Tardy accounts and connected services. They do not replace that EULA, change your agreement with Apple, or reduce mandatory consumer rights. Tardy operates and supports its service. A TestFlight beta is also subject to the applicable TestFlight terms; features may be incomplete or change.
4. Connected accounts and permitted access
Connect only accounts, calendars, feeds, and credentials you are authorized to use and share. Follow your institution's rules and each connected service's terms. Do not bypass a school's disabled-token settings, access controls, or other restrictions. A user-provided credential does not establish institutional approval. Connections and permissions can be limited, withdrawn, or unavailable.
Tardy can automatically create and adjust Tardy-owned study sessions under your planning settings and calendar permissions. Calendar changes proposed through chat require the applicable confirmation. Text Tardy changes supported shared Tardy calendar events; it does not directly edit Apple or Google calendar events. Review proposed actions and their destination before confirming.
5. Your content and acceptable use
You keep your rights in content you provide. You authorize Tardy and its providers to process, store, transmit, and display it as reasonably needed to provide, secure, and support your chosen features, subject to the Privacy Policy and your choices. This does not transfer ownership or permit publishing your coursework. Share only content and personal information you have permission to share.
Do not use Tardy unlawfully, infringe rights, violate academic-integrity rules, harass others, impersonate anyone, steal credentials, attack security, or evade access and usage limits. Do not put passwords, tokens, highly sensitive records, or others' private information into chat.
6. Privacy, AI, and texting are distinct choices
The Privacy Policy explains data handling. The AI Disclosure & Consent explains cloud AI processing. Agreeing to these Terms or acknowledging the Privacy Policy does not, by itself, authorize optional AI processing, calendar permissions, or texting. Those features require the applicable separate permission. General AI permission and withdrawal controls described in these drafts are not yet implemented across the app and backend.
Text Tardy is optional and is subject to the Text Tardy Terms. Message frequency varies, and message or data rates may apply. Use an address you control and disconnect it before transferring it. Reply STOP to withdraw messaging permission, or disconnect in the app. Signing out does not disconnect texting. Connecting or resuming texting does not grant or renew separate AI permission.
7. Availability, costs, suspension, and ending use
Features depend on supported devices, networks, and third-party services and may change or have reasonable usage limits. These Terms do not enroll you in a subscription or authorize undisclosed charges. Future paid offerings must disclose price, renewal, cancellation, and purchase terms before you choose them. Your carrier or other providers may charge separately.
You may stop using Tardy at any time and request account deletion at tardyadmin@tardyplanner.app. An in-app account-wide deletion flow is not yet implemented. We may restrict or suspend access when reasonably necessary for security, abuse prevention, legal compliance, ineligibility, or material violations of these Terms. Where practical and lawful, we will explain the action and provide a contact route. Ending use does not retract messages or all external calendar entries.
8. Warranties, responsibility, and applicable law
To the extent permitted by law, Tardy services are provided as available without a promise of uninterrupted operation or error-free results. You remain responsible for checking academic information and confirming actions. Nothing in these Terms excludes responsibility that cannot lawfully be excluded, including for fraud, willful injury, or violations of law, or limits your mandatory consumer rights. The app license's separate provisions remain subject to those rights.
California law governs these service Terms unless applicable law requires otherwise. Mandatory consumer protections and nonwaivable rights to use local courts remain available. Contacting us about a concern is not a condition of exercising legal rights. These Terms add no mandatory arbitration or class-action waiver.
9. Changes and contact
We will identify the effective date of revised Terms and give advance notice of material changes through the app or an account contact channel when practical and required by law. An urgent security or legal change may take effect sooner with prompt notice. We will obtain renewed agreement where required. Changes do not retroactively remove accrued rights.
