About these draft Terms
Tardy is operated personally by Michael Minh Nguyen and Aaron Nguyen, referred to here as "Tardy," "we," or "us." Tardy is the product name. These Terms govern Tardy accounts and connected planning, AI, and messaging services for United States residents age 18 or older.
This is a release-pending review draft, not yet effective. It describes the revised app and backend, which await a coordinated release. The effective date will be assigned with that release. It does not confirm the behavior of an installed or production version. Publishing or opening this page does not record agreement or AI permission.
Terms version 2 is intended to apply when you accept it in Tardy after the coordinated app and backend release. No effective date has been assigned to this website draft.
1. Eligibility and agreement
Tardy is offered to United States residents who are at least 18 years old and can enter a binding agreement. Keep your account information accurate, protect your sign-in, and tell us about suspected unauthorized access.
The agreement screen presents these Terms, the Privacy Policy, and an AI sharing disclosure. Checking its agreement box and selecting Continue both accepts these Terms and gives the AI permission described below. The box is not selected for you. Opening a policy, signing in, or having accepted an earlier version is not acceptance of this version. If you do not agree, do not continue into the service; you may sign out or delete an existing account.
The initially unchecked Terms/AI checkbox is separate from the age and US-residency checkbox. Its exact wording is:

The revised agreement records Terms version 2, AI disclosure version 2, the decision and source, and server time. Acceptance of an older version, signing in, or reading a policy does not establish this permission.
Delete Account is available before accepting the updated Terms, so an existing account can be deleted without agreeing to the revised AI sharing.
2. Planning and AI permission
AI is part of Tardy's planning service, including automatic planning and coursework analysis as well as Ask Tardy. After you accept, these features may run without a separate confirmation for each AI request.
You expressly permit Tardy to send relevant coursework, calendar details, reminders, preferences, chats, and account context through Tardy's servers to DeepSeek for AI planning and assistance. Depending on the feature, this may include your display name, course and assignment text, due dates, completion and study-time information, calendar titles, notes and locations, availability, and text extracted from documents you import. The Privacy Policy explains the data, storage, and provider processing in more detail.
Tardy uses DeepSeek's API. Processing may occur in China. We do not promise that DeepSeek will never use submitted data for model training or will delete it within a fixed period. Review the AI section of our Privacy Policy before accepting. Do not submit passwords, access tokens, highly sensitive records, or other people's private information that you lack permission to share.
The revised app has no separate AI-off mode. To stop new AI requests from the app, sign out on every device and stop using Tardy. To end your account and request erasure, use Settings > Delete Account or contact us. Signing out does not erase information already sent to Tardy or its providers. Requests already in progress may finish. Account deletion and provider-retained copies are explained in the Privacy Policy.
This agreement does not grant Apple or Google Calendar access, enable Text Tardy, or enroll you in marketing messages. Those connections and permissions remain separate. A material change to the AI recipient or sharing purposes requires a new disclosure and permission before that changed sharing begins.
3. What Tardy can and cannot do
Tardy helps organize coursework, calendars, study plans, and reminders. It is not your school, Canvas, an instructor, or an official academic record. It is not endorsed by Apple, Google, DeepSeek, Linq, or an institution merely because it connects with their services.
Imports may be incomplete, outdated, or unavailable. AI can misunderstand information or generate incorrect results. Verify deadlines, requirements, submission status, and other important academic information in your school's authoritative system. Review suggested schedules and proposed actions before relying on them. Tardy does not guarantee grades, complete assignment coverage, successful submissions, uninterrupted synchronization, or timely reminders. Do not use it for emergencies or safety-critical decisions.
4. Connected accounts and calendar changes
Connect only accounts, calendars, documents, feeds, and credentials that you are authorized to access and share. Follow your institution's rules and each connected service's terms. Do not bypass disabled access, token restrictions, or other controls. Your authorization does not establish your school's approval of Tardy.
Canvas school sign-in displays your school's sign-in pages inside Tardy. Tardy uses that temporary session to obtain your private calendar feed and read available completion information. You can paste a feed instead. This is not a claim of an institutional partnership or an official Canvas OAuth integration. Connections may be unsupported or withdrawn by the provider.
Under your planning settings and calendar permissions, Tardy can automatically create and adjust Tardy-owned study sessions. Chat-proposed changes use the applicable confirmation flow. Review the action, dates, and destination before confirming. Disconnecting a source, resetting, and deleting your account have different effects on existing calendar entries, described in the Privacy Policy.
5. Your content and acceptable use
You retain your rights in content you provide. You authorize Tardy and its providers to process, transmit, store, and display that content as needed to provide, secure, and support the service, subject to the Privacy Policy and the AI permission above. This does not transfer ownership to Tardy or permit us to publish your coursework.
Do not use Tardy unlawfully, infringe others' rights, violate academic-integrity rules, harass or impersonate anyone, steal credentials, attack security, or evade access and usage limits. Share only material and personal information you have permission to share.
6. Optional texting
Text Tardy and SMS digests are disabled in the revised app code. Production availability has not been confirmed as part of this draft. Accepting these Terms does not activate either feature. Earlier linked accounts may still have retained messaging records, as described in the Privacy Policy.
If texting becomes available, it requires a separate connection and messaging permission. Frequency varies and carrier message or data rates may apply. Use a sender address you control. STOP pauses texts; account deletion removes Tardy's connection and retained account records. Signing out alone does not disconnect a previously linked texting account. Messages already delivered remain with their recipients and providers.
7. App license, availability, and costs
Apple's Standard EULA applies to the App Store app when no custom EULA applies. These Terms govern Tardy's connected services in addition to that license; they do not replace your agreement with Apple or reduce mandatory consumer rights. A TestFlight beta is also subject to the applicable TestFlight terms and may be incomplete.
Features depend on supported devices, networks, and third-party services and may change or have reasonable usage limits. These Terms do not enroll you in a subscription or authorize undisclosed charges. Any future paid offering must disclose its price, renewal, cancellation, and purchase terms before you choose it. Your carrier and other providers may charge separately.
You may stop using Tardy at any time. We may restrict or suspend access when reasonably necessary for security, abuse prevention, legal compliance, ineligibility, or material violations of these Terms. Where practical and lawful, we will explain the action and provide a contact route.
8. Responsibility and applicable law
To the extent permitted by law, Tardy is provided as available without a promise of uninterrupted operation or error-free results. You remain responsible for checking academic information and confirming actions. Nothing in these Terms excludes responsibility that cannot lawfully be excluded, including for fraud, willful injury, or violations of law, or limits your mandatory consumer rights. The app license's separate provisions remain subject to those rights.
California law governs these service Terms unless applicable law requires otherwise. Mandatory consumer protections and nonwaivable rights to use local courts remain available. Contacting us is not a condition of exercising legal rights. These Terms add no mandatory arbitration or class-action waiver.
9. Changes and contact
We identify revised Terms by version and date. We will give notice of material changes through the app or an account contact channel when practical and required by law, and obtain renewed agreement where required. Urgent security or legal changes may take effect sooner with prompt notice. Changes do not retroactively remove accrued rights.
